1. Who We Are

BoostReel (the "Service") is operated by LELE HOLDING VENTURES LLC ("we", "us", "our"). By using the Service you are entering into an agreement with LELE HOLDING VENTURES LLC.

2. Acceptance of Terms

By accessing or continuing to use the Service you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You represent that you are of legal age in your jurisdiction and, if using the Service on behalf of an organization, that you have authority to bind that organization.

3. Description of Service

BoostReel is an AI-powered tool that generates short-form vertical video ads, captions, and visuals, and provides optional publishing to connected third-party platforms including TikTok, Instagram, YouTube, and LinkedIn.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date. You must be at least 13 years old (or the minimum age required in your country) to use the Service.

5. Payment, Subscriptions & Merchant of Record

Our order process is conducted by our online reseller Stripe. Stripe is the Merchant of Record for all our orders. Stripe provides payment-related customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Stripe's Checkout Buyer Terms.

6. License & Restrictions

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Service within the plan you have purchased. You may not: reverse engineer, resell, redistribute, or sublicense the Service; circumvent technical limits, quotas, or access controls; or use the Service to build a competing product.

7. Connected Third-Party Accounts

When you connect a TikTok, Instagram, YouTube, or LinkedIn account, you authorize BoostReel to publish content on your behalf using the scopes you approve. You can disconnect any account at any time. Your use of those platforms remains subject to their own terms and policies.

8. User Content

You retain ownership of content you upload or generate ("User Content"). You grant BoostReel a limited, worldwide, royalty-free license to host, store, process, and transmit User Content solely to operate and improve the Service. You represent that you have all rights necessary to your User Content and that it does not infringe any third party's rights.

9. Acceptable Use

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated by reference. In summary, you agree not to use the Service to create, generate, or distribute content that:

is unlawful, fraudulent, deceptive, or violates third-party rights;
is hateful, harassing, sexually exploitative, or targets minors;
impersonates a real person without consent or constitutes a deepfake intended to deceive;
contains malware, spam, or attempts to probe, scan, or interfere with the Service;
scrapes, mass-extracts, or attempts to reverse engineer our models or systems;
violates the policies of any connected platform (including TikTok Community Guidelines).

10. AI-Generated Content

BoostReel uses third-party AI models to generate scripts, visuals, captions, and other outputs. AI outputs may be inaccurate, biased, or offensive, and are not suitable for regulated professional advice (legal, medical, financial). You are solely responsible for your prompts, for reviewing all AI-generated output before use or publication, for verifying accuracy, and for ensuring you have the rights to any input content.

We reserve the right to filter, refuse, or remove generated outputs, and to suspend or terminate accounts that misuse the Service. Rights-holders may submit takedown requests to support@boostreel.app; repeated infringement will result in account termination.

11. Intellectual Property

The Service, including all software, models, branding, and documentation, is owned by LELE Ventures Holding LLC and its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership to you beyond the limited license in Section 6.

12. Service Availability

We work to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, or that any specific result will be achieved. The Service may be modified, suspended, or discontinued at our discretion.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service will not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (such as for fraud, death, or personal injury caused by negligence).

15. Indemnification

You agree to indemnify and hold harmless LELE HOLDING VENTURES LLC from any claims, damages, or expenses arising from your User Content, your use of the Service, or your breach of these Terms.

16. Suspension & Termination

We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the Service at any time. Upon termination, your right to use the Service ends and we may delete your account data after a reasonable export window, except where retention is required by law.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after the effective date constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by the laws of the jurisdiction in which LELE HOLDING VENTURES LLC is established, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, except where mandatory consumer protection laws provide otherwise.

19. Assignment & Force Majeure

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
